Please read these Terms and Conditions (“Terms”) carefully before using the website or services operated by Pinewood Capital LLC(“Pinewood Capital,” “we,” “us,” or “our”). By accessing our website, submitting an application, or communicating with us (including by SMS), you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Pinewood Capital LLC. We reserve the right to update these Terms at any time. The “Last Updated” date above reflects the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
2. Eligibility
Our services are available only to business owners and authorized representatives of legal business entities operating in the United States. You must be at least 18 years of age and have authority to bind your business to these Terms. By submitting an application, you represent and warrant that all information provided is accurate, complete, and not misleading.
3. Services Described
Pinewood Capital is a direct commercial lender providing business financing products, including but not limited to merchant cash advances (MCAs), short-term business loans, and business lines of credit. Nothing on this website constitutes an offer to lend. All funding is subject to underwriting approval, and terms may vary based on your business profile, industry, and other factors. Approval and funding are not guaranteed.
4. SMS Communications — Terms of Service
SMS / Text Message Terms
- Program Description: By providing your mobile phone number on any Pinewood Capital form, you expressly consent to receive text messages (SMS/MMS) from or on behalf of Pinewood Capital LLC at the number provided, including: (a) transactional/customer notification messages regarding your application, account, funding, and related services; and (b) marketing messages regarding Pinewood Capital products, promotions, and offers.
- Consent Not Required: Consent to receive marketing SMS messages is not a condition of applying for or receiving funding from Pinewood Capital.
- Message Frequency: Message frequency varies. Transactional messages are sent as needed based on account activity. Marketing messages are sent no more than 4 times per month unless you have made a recent inquiry.
- Message & Data Rates: Standard message and data rates may apply depending on your mobile carrier plan. Pinewood Capital does not charge for SMS messages; carrier fees are your responsibility.
- Opt-Out Instructions: To stop receiving marketing text messages, reply STOP to any SMS from us. You will receive one final confirmation message. After opting out, you will no longer receive marketing messages. You may still receive transactional messages related to any active agreement.

- Supported Carriers:AT&T, T-Mobile, Verizon, and other major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.
- Data Privacy: Your mobile opt-in data will not be shared with third parties for their own marketing or solicitation purposes. See our Privacy Policy for full details.
- 10DLC Registration: Our SMS program operates on a 10-digit long code (10DLC) registered with The Campaign Registry (TCR) and approved by major U.S. carriers in compliance with CTIA Short Code Monitoring Handbook guidelines.
5. Prohibited Uses
You agree not to:
- Use our website or services for any unlawful purpose;
- Provide false, inaccurate, or misleading information in any application or communication;
- Attempt to gain unauthorized access to any portion of our website or systems;
- Transmit any unsolicited commercial communications, spam, or malware;
- Reproduce, distribute, or commercially exploit any content from our website without prior written consent;
- Interfere with or disrupt the integrity or performance of our website or services.
6. Intellectual Property
All content on this website — including text, graphics, logos, icons, images, and software — is the property of Pinewood Capital LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, or distribute any content without our express written permission.

9. Limitation of Liability
To the fullest extent permitted by applicable law, Pinewood Capital LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising from your use of our website or services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid us, if any, in the six months preceding the claim.

11. Governing Law and Dispute Resolution
